Gabia's Third-Largest Shareholder Demands Independent Committee and Market Check for Takeover

According to Yonhapinfomax, on July 22, AlignPartners Asset Management, which owns 14.29% of Gabia shares as the third-largest shareholder, sent an open letter to the board demanding procedural fairness in the company's public acquisition. The shareholder called for excluding conflict-of-interest directors from voting, establishing an independent special committee, and launching a market check to identify alternative bidders.

AlignPartners also requested that an independent external financial adviser conduct price validation using discounted cash flow analysis before the board recommends the acquisition. The company requested a formal response by July 31 and warned of potential legal action if demands are not adequately addressed.
