Gabia Launches Public Tender at 48,000 KRW Per Share to Delist on July 22

According to Herald Economics, Gabia, a cloud and IT infrastructure company, launched a public tender offer with Macquarie Asset Management on July 22 to delist and resolve its dual listing structure. The offer price is set at 48,000 Korean won per share, with the tender period running from July 21 to September 17.

Macquarie will acquire a 24.4% stake from Kim Hong-gook, Gabia's co-CEO, and purchase additional shares from minority shareholders to take the company private. However, activist investors Align Partners (holding 14.3%) and Miracle Capital (24.2%) have publicly challenged the offer, arguing the price significantly undervalues Gabia. Miracle Capital claims the fair price should be at least 66,200 won per share based on comparable global transactions.
